Terms of Service

1. Acceptance of Terms
Welcome to PropAgentic. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PropAgentic, Inc. ("PropAgentic," "we," "us," or "our") governing your access to and use of the PropAgentic platform at propagentic.com, including all related websites, applications, and services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.
The Platform serves three categories of users:
- Landlords: Property owners and managers who oversee properties and tenants
- Tenants: Residents of properties managed through the Platform
- Contractors: Licensed professionals who perform maintenance and repair work
PropAgentic is a technology platform that facilitates property management workflows using artificial intelligence. We are not a property management company, contractor employer, or licensed trade professional.
2. Description of Service
PropAgentic provides an AI-powered property management platform that includes:
- AI Maintenance Diagnosis: Conversational AI (powered by Anthropic Claude) that helps tenants describe, photograph, and diagnose maintenance issues
- Cost Estimation: AI-generated labor estimates and real-time material pricing sourced from third-party retailers
- Property Management Tools: Property listings, unit management, tenant onboarding, and maintenance request tracking for landlords
- Contractor Matching: Automated and manual assignment of available registered contractors to maintenance jobs. PropAgentic does not vet, endorse, certify, or guarantee any contractor's qualifications, licensing, or insurance. Users are solely responsible for independently verifying contractor credentials before approving work.
- Payment Processing: Subscription billing for landlords and contractor payout processing through integrated payment providers
- Communication Services: In-app messaging, email notifications, and SMS alerts
- DIY Guidance: Step-by-step instructions for simple repairs that tenants may safely perform themselves
3. User Accounts & Registration
To use the Platform, you must create an account. You may register using:
- Email and password: Standard registration with email verification
- Google OAuth: Single sign-on using your Google account, which provides automatic email verification
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years old to create an account and use the Platform. By registering, you represent that you meet this age requirement.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
4. User Responsibilities by Role
Landlords
- Provide accurate and complete property information, including address, unit details, and property systems data
- Comply with all applicable federal, state, and local fair housing laws and regulations
- Respond to maintenance requests in a timely manner, especially those flagged as urgent or emergency
- Process contractor payments promptly upon satisfactory completion of work
- Maintain accurate tenant records and remove tenants who no longer reside at your properties
- Independently verify contractor licensing and insurance before approving work
- Represent and warrant that all property information provided (including address, systems data, unit details, and hazard disclosures) is accurate and complete to the best of your knowledge. PropAgentic relies on this information for AI-powered features and is not liable for outcomes resulting from inaccurate or incomplete property data you provide.
Tenants
- Provide accurate and honest descriptions of maintenance issues, including photos when possible
- Grant reasonable access to the property for approved maintenance work
- Follow the Platform's emergency protocol: in a true emergency (gas leak, fire, flooding, electrical hazard), call 911 first, then report through the Platform
- Do not attempt DIY repairs beyond your skill level; follow AI safety warnings
- Treat contractors and property with respect
Contractors
- Maintain valid, current licenses and insurance coverage for all work performed
- Operate as an independent contractor, not an employee, agent, or representative of PropAgentic
- Perform work in a professional manner consistent with industry standards
- Submit accurate invoices and complete work within agreed-upon timelines
- Upload before and after photos as required for job documentation
- Comply with all applicable building codes, safety regulations, and permit requirements
- Maintain responsibility for your own taxes, insurance, and business obligations
By using the Platform, contractors acknowledge and agree that:
- Contractors set their own hours, schedules, and availability
- Contractors use their own tools, equipment, and vehicles
- Contractors are free to serve other clients and platforms simultaneously
- Contractors have the right to decline or refuse any job assignment
- PropAgentic does not control the manner or method of work performed
5. AI-Powered Features Disclaimer
AI recommendations provided by PropAgentic are informational only and do not constitute professional engineering, plumbing, electrical, HVAC, or any other licensed trade advice.
- AI-generated diagnoses are based on user-provided descriptions and photos and may not be fully accurate
- Always consult a licensed professional before acting on AI recommendations for issues involving safety, structural integrity, gas, or electrical systems
- Cost estimates (including material prices sourced from third-party retailers like Home Depot) are approximations only and are not guaranteed quotes; actual costs may vary
- Photo analysis by AI has inherent limitations and cannot detect issues not visible in the images provided
- DIY instructions are general guidance; individual circumstances may require professional intervention
- PropAgentic is not liable for outcomes resulting from reliance on AI-generated recommendations
- The AI system may decline to provide guidance on issues involving gas, electrical, structural, or other high-risk systems and may direct you to contact a licensed professional or emergency services instead
- AI-generated content on the Platform is produced by automated systems and does not represent the professional opinion of any licensed engineer, plumber, electrician, or other trade professional
- You acknowledge that AI outputs are generated algorithmically and may contain errors, omissions, or inaccuracies. You assume all risk associated with reliance on AI-generated content
6. Subscription & Payment Terms
Landlord access to the Platform is provided through paid subscription plans. Payment is processed securely through Stripe.
- Billing: Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan selected
- Free Trials: We may offer trial periods at our discretion. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are provided for partial periods
- Refunds: Refund requests are handled on a case-by-case basis. Contact us within 14 days of a charge to request a review
- Price Changes: We may update subscription pricing with at least 30 days' advance notice. Continued use after a price change constitutes acceptance of the new pricing
7. Contractor Payment Terms
Contractor payments are facilitated through Stripe Connect. By using the Platform's payment features, contractors agree to the following:
- Stripe Connect: Contractors must set up and maintain a Stripe Connect account to receive payments through the Platform
- Transaction Fees: PropAgentic may charge a percentage-based transaction fee on payments processed through the Platform. Current fee schedules are available in your account settings
- Payout Schedule: Payouts are processed according to Stripe's standard payout schedule, typically within 2-7 business days after payment is received
- Invoicing: Contractors submit invoices through the Platform. Landlords review and approve payments, which are then processed through Stripe
- Tax Responsibility: Contractors are solely responsible for reporting and paying all applicable income taxes, self-employment taxes, and any other taxes owed. PropAgentic may issue 1099 forms as required by law
- Independent Contractor Status: Contractors using the Platform are independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship between contractors and PropAgentic
- Payment Facilitator: PropAgentic acts solely as a payment facilitator between landlords and contractors. PropAgentic does not hold funds in escrow and is not a party to the contractual relationship between landlords and contractors regarding work quality or scope.
- Payment Disputes: If a landlord disputes the quality of work after payment has been initiated, the dispute is between the landlord and contractor. PropAgentic may, at its sole discretion, assist in mediation but is not obligated to do so. PropAgentic is not liable for work quality, scope disputes, or payment disagreements between users.
- Chargebacks: If a chargeback is initiated against a payment processed through the Platform, the party responsible for the underlying obligation bears all associated fees and costs. PropAgentic reserves the right to suspend accounts involved in repeated chargeback disputes.
8. Intellectual Property
The Platform, including its software, design, text, graphics, logos, AI models, system prompts, and all other content created by PropAgentic, is the exclusive property of PropAgentic, Inc. and is protected by copyright, trademark, and other intellectual property laws.
- The PropAgentic name, logo, and all related marks are trademarks of PropAgentic, Inc.
- You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent
- You may not reverse-engineer, decompile, or attempt to extract the source code of the Platform
By submitting content to the Platform (including photos, descriptions, and reviews), you grant PropAgentic a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content for the purpose of operating and improving the Platform.
9. User-Generated Content
Users may submit content including maintenance photos, chat messages, property descriptions, and contractor reviews. You agree that:
- You own or have the right to submit all content you provide
- Your content does not infringe on the intellectual property or privacy rights of others
- Your content is accurate and not misleading
- Reviews and ratings reflect your honest experience
We reserve the right to remove any content that violates these Terms, is illegal, defamatory, harassing, or otherwise objectionable, at our sole discretion and without prior notice.
10. Privacy & Data Collection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key points:
- We process personal data under the following legal bases: contractual necessity (to provide our services), legitimate interest (to improve and secure the Platform), and consent (where required by law)
- Data categories collected include: identity data, property data, maintenance records, financial data (processed by Stripe), communication data (chat, SMS, email), and technical data (IP address, device info, usage logs)
- AI conversations may be stored for service improvement and quality assurance
- Data is stored on Google Cloud and Firebase infrastructure
- We retain personal data for as long as your account is active, plus any additional period required by law or for legitimate business purposes. You may request deletion at any time via account settings or by contacting privacy@propagenticai.com
- California residents: Under the CCPA, you have the right to know what data we collect, request deletion, and opt out of the sale of personal information. We do not sell personal information.
11. Third-Party Services
The Platform integrates with third-party services to provide its features. Your use of these integrations is subject to the respective third party's terms of service and privacy policy:
- Stripe: Payment processing for subscriptions and contractor payouts (stripe.com/legal)
- Google: Maps, Places API, and OAuth authentication (policies.google.com/terms)
- Anthropic: Claude AI for maintenance diagnosis (anthropic.com/policies)
- SerpAPI / Home Depot: Real-time material pricing and product information
- SendGrid: Transactional email delivery
- Twilio: SMS verification and notifications
PropAgentic is not responsible for the availability, accuracy, or practices of third-party services. Material prices displayed on the Platform are sourced from third-party retailers and may change without notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PropAgentic provides the Platform on an "as is" and "as available" basis without warranties of any kind, whether express or implied
- We do not warrant that the Platform will be uninterrupted, error-free, or secure
- We are not liable for the quality, safety, legality, or timeliness of work performed by contractors
- We are not liable for the accuracy of AI-generated diagnoses, cost estimates, or recommendations
- We are not liable for any property damage, personal injury, or losses arising from maintenance work coordinated through the Platform
- Our total liability to you for any claims arising out of or related to these Terms or your use of the Platform shall not exceed the total amount of fees you have paid to PropAgentic in the twelve (12) months preceding the claim
- In no event shall PropAgentic be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill
- We are not liable for any outcomes, damages, or losses arising from inaccurate, incomplete, or misleading information provided by any user of the Platform, including but not limited to property descriptions, maintenance reports, and contractor qualifications
- PropAgentic does not endorse, guarantee, or verify the qualifications, licensing, insurance, or work quality of any contractor on the Platform. All contractor vetting is the sole responsibility of the landlord.
13. Indemnification
You agree to indemnify, defend, and hold harmless PropAgentic, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Platform
- Your negligence or willful misconduct
- Any content you submit to the Platform
- Your infringement of any intellectual property or privacy right of a third party
- Any dispute between you and another user of the Platform (including landlord-tenant or landlord-contractor disputes)
14. Dispute Resolution & Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
- Informal Resolution: Before filing any formal claim, you agree to contact us at legal@propagenticai.com and attempt to resolve the dispute informally for at least 30 days
- Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing arbitration or litigation
- Binding Arbitration: Any dispute not resolved through mediation shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in North Carolina
- Class Action Waiver: You agree to resolve disputes with PropAgentic on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding
- Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Platform
- Severability of Governing Law: If a court of competent jurisdiction determines that the governing law or forum selection provisions of this section are unenforceable with respect to a particular claim or user, only those provisions shall be severed, and the remainder of these Terms shall continue in full force and effect. In such cases, the dispute shall be governed by the laws of the jurisdiction where the user resides.
15. Modification of Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Provide at least 30 days' advance notice via email or in-app notification before material changes take effect
- Post the updated Terms on the Platform
Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.
16. Termination & Account Deletion
By You
You may close your account at any time through your account settings or by contacting us. Upon closure:
- Your access to the Platform will be revoked
- Active subscriptions will not be refunded for partial billing periods
- You may request a data export before account deletion
By PropAgentic
We may suspend or terminate your account at any time if:
- You violate these Terms
- Your account is used for fraudulent or illegal activity
- You fail to pay outstanding fees
- We are required to do so by law
Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, Dispute Resolution, and Intellectual Property) shall continue in full force and effect.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
